Term and Conditions:
1. Once the purchase of the shelf company has been confirmed and completed, the company is non-returnable and non-exchangeable.
The purchaser shall ensure that the company is used solely for lawful business purposes and shall not use the company to conduct, facilitate or participate in any unlawful, fraudulent or prohibited activities or transactions.
2. All changes of director, cosec, registered address and transfer of share must be completed within one (1) month from the date of purchase. Upon completion, the purchaser is required to email the complete duly signed documents to us for our records and further necessary action.
3. If the purchaser fails to complete the required changes or provide the necessary documents within the stipulated period, we reserve the right to take such further steps as may be legally available and appropriate, subject to the Companies Act 2016, SSM requirements and applicable procedures.
Any additional professional fees, statutory fees, penalties, compliance costs or other expenses arising from the purchaser’s delay or failure to complete the required procedures shall be borne by the purchaser, where applicable.
4. The purchaser is responsible for providing complete, accurate and valid information and supporting documents required for the transfer, appointment, KYC/CDD and subsequent corporate compliance procedures.
The purchase and transfer of the shelf company remain subject to the applicable KYC/CDD, statutory and regulatory requirements.

购买方必须确保该公司仅用于合法的商业用途，不得利用该公司从事、协助、促成或参与任何违法、欺诈性或受禁止的活动或交易。
2. 必须在一个月内完成公司资料变更
自购买现成公司之日起，以下所有公司资料变更及相关手续必须在 一个（1）月内完成：
• 董事变更（Change of Director）
• 公司秘书变更（Change of Company Secretary / Cosec）
• 注册地址变更（Change of Registered Address）
• 股份转让（Transfer of Shares）
完成上述程序后，购买方必须将完整且已正式签署的相关文件通过电子邮件发送给我们，以供记录及进行后续必要的处理。
3. 未在规定期限内完成相关程序
如果购买方未能在规定期限内完成所需的公司资料变更，或未能提供所需文件，我们保留在《2016年公司法令（Companies Act 2016）》、SSM相关规定及适用程序允许的范围内，采取合法且适当的进一步措施之权利。
如因购买方延误、未及时提供文件或未完成所需程序而产生任何额外的：
专业服务费、法定费用、罚款、合规费用或其他相关支出
在适用的情况下，均由购买方自行承担。
4. KYC / CDD及合规责任
购买方有责任提供办理以下事项所需的完整、准确、真实及有效的资料和证明文件：
公司转让（Transfer）
董事／公司秘书委任（Appointment）
KYC / CDD 客户尽职调查
后续公司法定及合规程序（Corporate Compliance Procedures）
现成公司的购买及转让程序，均须符合适用的 KYC / CDD、法定要求、SSM规定及其他相关监管要求。
所有公司转让及资料变更程序，必须完成相关合规审核后方可进行。
